Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Thursday Night LLC, a Michigan limited liability company ("Tabletop Lynk," "we," "us," "our"), governing your use of the Tabletop Lynk mobile application and related services (the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Who can use the Service

You must be at least 18 years old to create an account or use the Service. The Service is intended solely for adults. It is not directed to, and may not be used by, anyone under 18.

When you create an account you are asked to provide your date of birth, and you represent that the date you provide is accurate and that you are 18 or older. We rely on that representation. If we learn or reasonably believe that an account holder is under 18, we will suspend or terminate the account and delete the associated personal information as described in our Privacy Policy.

You are responsible for all activity under your account. You may not create an account on behalf of anyone else, and you may not allow anyone under 18 to use your account.

2. What Tabletop Lynk is

Tabletop Lynk is a platform that helps game masters ("GMs") and players find one another and arrange games, online and in person. We are a venue for connection only. We are not a party to any arrangement between users, we do not organize, supervise, attend, host, or control any game, meetup, chat, or interaction between users, and we do not employ, endorse, recommend, or vet GMs or players.

3. No verification, no endorsement, no employment relationship

Profiles on the Service are not verified. We do not confirm any user's identity, age, name, photograph, location, experience, or any statement made in a profile, listing, or message. Information you see about another user is supplied by that user and has not been checked by us.

GMs and other users are not our employees, agents, or representatives. No user acts on our behalf. No GM, player, or other user has authority to make any statement, promise, or commitment for us, and nothing a user says or does is attributable to us.

Nothing in the Service is a representation or warranty about the safety, character, identity, background, or suitability of any user. We do not conduct criminal background checks or identity verification on users, and you should not treat the presence of a user on the Service as any form of screening, approval, or vouching by us.

4. Your account

You agree to provide accurate information, keep your password secure, and promptly notify us of any unauthorized use of your account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

5. Acceptance of these Terms

You accept these Terms by affirmatively indicating your agreement when you create your account, and again when we ask you to review a materially updated version. We record the version you accepted and the date on which you accepted it. Continuing to use the Service after a version takes effect does not substitute for that acceptance where we have asked you to review and accept an update.

6. Acceptable use

Your use of the Service is subject to our Community Guidelines, which are incorporated into these Terms by reference. You agree not to harass, threaten, or harm other users; post unlawful, hateful, or sexually explicit content; solicit, sexualize, or endanger minors; share another person's private information; impersonate others; spam; misrepresent your age or identity; use the Service if you are under 18; or otherwise misuse the Service. We may remove content and suspend or terminate accounts that violate these Terms or the Guidelines.

7. Your content

You retain ownership of the content you post, including profiles, listings, and messages. You grant us a non-exclusive, worldwide, royalty-free license to host, store, display, and distribute that content as needed to operate the Service. You are responsible for your content and represent that you have the right to post it.

8. User content and our role as an interactive service

Tabletop Lynk is an interactive computer service that transmits and displays content created by its users. Profiles, listings, chat messages, and other materials on the Service are provided by users, not by us. We do not create, and are not the publisher or speaker of, content provided by other users. We are not responsible or liable for any user content or for any reliance you place on it, and we make no representation about its accuracy, legality, or reliability.

We may, but are not obligated to, monitor, screen, remove, or edit user content or accounts. Any action we take or decline to take with respect to user content does not make us a party to, or responsible for, that content or the conduct of any user.

9. Interactions and meetups with other users

The Service may be used to communicate with other users and to arrange games and meetings with them, both online and in person. You understand and agree that:

• We do not screen, background-check, verify the identity of, or otherwise vet any user.
• We are not present at and exercise no control over any meetup, game, chat, message, or other interaction between users, whether online or in person.
• All interactions with other users, including in-app messaging and other online contact as well as in-person meetings, are solely between those users.
• You assume all risks arising from interacting with, communicating with, and meeting other users, including the risk of injury, loss, harassment, fraud, theft, emotional distress, or harm to you or your property, whether occurring online or in person.
• You are solely responsible for taking sensible precautions, including meeting first in public places, telling someone you trust where you will be, and not sharing sensitive personal or financial information with other users.

To the fullest extent permitted by law, you release Thursday Night LLC and its members, owners, managers, officers, employees, and agents from any and all claims, demands, liabilities, and damages of every kind, known or unknown, arising out of or related to your interactions, communications, or meetups with other users, whether online or in person.

10. Reporting, moderation, and enforcement

The Service provides tools to block other users and to report content, accounts, and conduct. We maintain internal procedures for reviewing reports we receive, including reports involving threats, stalking, harassment, sexual misconduct, exploitation, violence, unlawful gambling, and other conduct that violates these Terms or the Community Guidelines. We also maintain procedures for responding to emergency reports and to lawful requests from law enforcement.

Where we determine that a violation has occurred, the actions available to us include removing content, issuing a warning, restricting account features, suspending an account, and permanently banning a user from the Service. We decide what action to take, if any, in our sole discretion, and we may act without prior notice where we consider it appropriate.

These procedures describe how we operate. They are not a guarantee. We do not promise that we will detect, review, or act on any particular report, that we will act within any particular time, or that our action will prevent harm. We are not responsible for the conduct of any user, and nothing in this section creates a duty to protect any user or a right to any specific enforcement outcome.

If you are in immediate danger, contact your local emergency services first. Reporting through the Service is not a substitute for contacting emergency services or law enforcement.

11. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or secure, and we do not guarantee any match, the conduct of any user, or the outcome of any game, meetup, or interaction.

12. Limitation of liability

To the fullest extent permitted by law, Thursday Night LLC and its members, owners, managers, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, arising from or related to your use of the Service or your interactions with other users. Our total aggregate liability for any claim relating to the Service will not exceed the greater of the amount you paid us in the twelve months before the claim or US $100.

13. Indemnification

You agree to indemnify and hold harmless Thursday Night LLC and its members, owners, managers, officers, employees, and agents from any claims, damages, losses, and expenses, including reasonable legal fees, arising out of your use of the Service, your content, your interactions, communications, or meetups with other users, or your violation of these Terms.

14. Termination

You may stop using the Service at any time. We may suspend or terminate your account, with or without notice, for any violation of these Terms or the Community Guidelines, because we believe you are under 18, or to protect the Service or its users. Provisions that by their nature should survive termination, including Sections 8, 9, 10, 12, and 13, will survive.

15. Dispute resolution

Informal resolution first. Before starting arbitration or filing any formal claim, you agree to first contact us at [email protected] with a description of the dispute and to work with us in good faith to resolve it informally for at least 30 days.

Binding arbitration. If we cannot resolve a dispute informally within 30 days, you and Thursday Night LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding, individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court. The arbitration will be seated in the State of Michigan, and judgment on the arbitrator's award may be entered in any court with jurisdiction. Either party may instead bring an individual claim in small-claims court if the claim qualifies.

Individual basis only; class-action waiver. All disputes will be resolved on an individual basis only. You and Thursday Night LLC each waive any right to bring or participate in any class, collective, consolidated, or representative action, and the arbitrator may not consolidate more than one person's claims or preside over any representative proceeding.

Jury-trial waiver. To the extent permitted by law, you and Thursday Night LLC each waive any right to a jury trial in connection with any dispute relating to these Terms or the Service.

30-day right to opt out. You may opt out of this arbitration and class-action-waiver provision by emailing [email protected] within 30 days of first accepting these Terms, stating your name and that you wish to opt out. Opting out will not affect any other part of these Terms.

16. Governing law

These Terms are governed by the laws of the State of Michigan, without regard to its conflict-of-laws rules.

17. Changes to these Terms

We may update these Terms from time to time. Each version carries an effective date and a version number, and we will post the current version in the app. Where changes are material, we will ask you to review and accept the updated Terms before you continue to use the Service, and we will record your acceptance and its date.

18. Fees and changes to the Service

The Service is currently offered free of charge. We may introduce paid features, subscriptions, or other fees in the future. If we do, we will publish the applicable fee terms and obtain your express agreement before you incur any charge.

We may add, modify, suspend, or discontinue any feature of the Service at any time. Where a change materially reduces functionality you rely on, we will make reasonable efforts to notify you in advance through the app.

Purchases made through the Apple App Store or Google Play are also subject to the terms of the applicable store, and refunds for those purchases are handled by that store under its own policies. Except where required by law or by an applicable store policy, fees are non-refundable.
